The Company's subsidiary owns Hotel Beneficial Managua Las Palmas, a hotel in Managua, Nicaragua.

Subsidiaries

Nicaraqua - Grupo Beneficial

Grupo Beneficial, Sociedad Anonima, received its cedula-RUC from the Ministerio de Haciendo y Credito Publico on June 23, 2009. It's Constitution was filed with the Registro Publico Mercantil. Grupo Beneficial received its Constancia de Responsable Recaudador de Impuestos Indirectos from the Ministerio de Haciendo y Credito Publico Direccion General de Ingresos. The Constancia allows the subsidiary company to collect sales tax known as el Impuesto al Valor Agregado and to perform monetary transactions while conducting business.

City of Managua - Grupo Beneficial

Grupo Beneficial received its Constancia de Matricula from the City of Managua on June 29, 2009. This allows the company to conduct business in Managua.

Grupo Beneficial, S.A.   97% owned by Beneficial Holdings, Inc.  Operates the Company's gaming sites in Nicaragua such as the Vereda Tropical and Buchona gaming locations.  It is currently in negotiations for several acquisitions.  Owns the www.bet.cr internet domain name that will house the Company's forthcoming online casino for non-U.S. residents.

MANAGUA, NICARAGUA--(Marketwire - October 5, 2010) - Beneficial Holdings, Inc. (PINKSHEETS: BFHJ) announced today that its wholly owned subsidiary, Beneficial Property Holding Corp., formed a partnership with a development group and the owners of approximately 34 acres of property near Montelimar, Nicaragua. 

Beneficial Property Holdings Corp. will own approximately 55% of the partnership and will license its Hotel Beneficial name to the project.

The Company is also in negotiations and conducting due diligence for additional adjoining parcels for the resort whether through a purchase or participating in the partnership.

The resort will be situated on a large lake and be approximately one kilometer from the beach. The resort plan includes a casino, water park, hotel rooms, hiking trails, horseback, three restaurants, boating, fishing, and other amenities. The lake has two waterfalls.

The Montelimar area is a highly attractive tourist destination in Nicaragua with its beaches, rain forests, ranches, and plantations. It is about 40 miles from the Company's flagship hotel, Hotel Beneficial Las Palmas.
