History

          SK3 Group Inc (formerly CTT International Distributors) (3) is a holding company specializing in the medical and health-related services industries. As of 12-10-2009, Healthcare of Today Inc. (henceforth referred to as "HOTI") has gained a controlling interest in the company (4). SK3 Group will be re-named to "Healthcare of Today Services", along with a new stock ticker and CUSIP number, at a yet undefined date. Prior to this date, SK3 Group had acquired various companies within the medical and health-related services industries. A closer look at the companies is provided below:

10-09-2009: SK3 Group Acquires Nurses On-line for $1,200,000 in a "blended" deal of cash and stock (5)

10-19-2009: SK3 Group signs 4,000 employee services contract with AMS Outsourcing Inc. (6)

10-20-2009: SK3 Group signs two-year contract with American Transport Administrative Services (7)

10-21-2009: SK3 Group signs two-year contract with Allegiant Professional Business Services Inc. (8)

10-23-2009: SK3 Group signs a two-year contract with Leading Edge Benefits Inc. (9)

10-26-2009: SK3 Group announces marketing campaign for it's Preferred Medical Card. "The Preferred Medical Card allows SK3 Group to offer discounted healthcare and medical products to it's existing portfolio of PEO members. The Preferred Medical Card offers discounts from 10-60% on healthcare services and products at over 35,000 providers such as CVS and Aetna Dental Access." (10)

10-28-2009: SK3 Group signs a joint venture with Premier Medical Group (PMG). "PMG is a mobile provider of diagnostic testing, allowing the patient to have testing in a familiar environment while allowing the doctor to maintain and provide quality in-office diagnostic procedures without any of its associated complexities. The company has been in business for seventeen years and currently does over four million dollars a year in sales."

Note: SK3 Group recieves 20% of all fees and visit revenues. Average revenue is $140/test administered. (11)

10-28-2009 SK3 Group signs a joint venture with Chiropractic USA Inc. Chiropractic USA has been in business for seven years and currently has thirty five franchisees across the US, generating systemwide annual revenues in excess of $14,000,000.

12-02-2009: SK3 Group signs a Letter Of Intent (LOI) to acquire Medical Billing Specialists Inc. for $4,100,000 from Healthcare of Today, Inc. (13)

12-03-2009: SK3 Group signs a LOI to acquire Angels of the Valley, LLC. for $3,850,000 from Healthcare of Today, Inc. (14)

12-10-2009: SK3 Group announces Healthcare of Today, Inc. has attained a controlling interest in the company, represented by 44,986,954 common shares. As part of the issue of the shares, SK3 amended it's Articles of Incorporation to increase the number of shares of common stock authorized to 100M. (15)

Note: The number of authorized shares is equal to the total number of all shares. The number of shares issued is the number of shares outstanding, plus the number of shares held within the treasury. The is no information available as to the number of shares within the treasury, so we can only assume that HOTI holds 51% of the commons. Based on this assumption, there would be a total of 88,209,714 in the float. The number of shares available for "trade", however, would thus be restricted to 49% of this value, as we can assume HOTI is not freely buying/selling at the open market. Therefore we are looking at roughly 43,222,760 shares on the open market. (Please note that these are only my assumption and that the market cap, eps, and other calculations must be made using the full float, not a "partial" value depicted here. These values are simply stated to gauge the number of trading shares.)

12-10-2009: SK3 Group announces the company will be moving it's corporate headquarters to California, effective 01-01-2010. The current Florida office will become a regional sales location. (16)

12-17-2009: SK3 Group announces LOI to become Healthcare of Today Services. Registry will be through the State of Nevada. (17)

SK3 shall be reinstated as a reporting company under Section 12g of the Securities and Exchange Act of 1934;

The shareholders of Healthcare of Today and SK3 shall have approved the merger and consolidation as required by the respective laws of their places of incorporation.

Healthcare of Today and SK3 shall have filed a Form S-4 registration statement with the SEC for the new consolidated holding company to register the shares to be issued in the merger, and that registration statement shall have been declared effective;

Healthcare of Today and SK3 shall have filed a listing application for listing of the common shares of the new consolidated holding company on the NASDAQ stock market, and the application shall have been granted.

03-16-2010: SK3 Group announces that Angels of the Valley Hospice Care now offers complete palliative services at it's Artesia, California branch. This extends Angels of the Valley's hospice care coverage to Artesia, Long Beach, and Orange County.

04-07-2010: SK3 Group announces that is has signed an agreement with Healthcare of Today, Inc. for the transfer of PRN Registry and ZAP Healthcare, LLC. Both companies will become operating subsidiaries of SK3 Group, expected to be complete in the next 45 days. (19)

04-08-2010: SK3 Group announces the acquisition of three companies: Kirby Bates Associates, Role-Based Practice Solutions, and HealthStaff Training Institute. (20)

04-19-2010: SK3 Group and Healthcare of Today jointly announce a definitive agreement to acquire ima Sleep Disorder Center, Inc. and Southern California X-Ray-EKG Inc. (21)

04-21-2010: SK3 Group and Healthcare of Today jointly announce an agreement for SK3 to acquire over fifteen different healthcare facilities and service businesses from it's parent company.

04-26-2010: SK3 Group to acquire $150M in biomolecule inventory from Discovia Life Sciences

Note: "Discovia Bio-Molecules, Inc., a Florida corporation that is a wholly-owned subsidiary of Discovia Life Sciences, Inc. to purchase $150 million in biomolecules, subject to testing and validation of the biomolecules. Discovia Life Sciences, Inc. is the biotechnology and life sciences portfolio company of Healthcare of Today, Inc., which controls SK3 Group, Inc. Although Healthcare of Today is a public company, no current market exists in which to buy or sell it's securities. The only way (at the present time) to invest in this company is through it's direct subsidiaries. Per Healthcare of Today CEO, Henry Jan, each division of the company will be a publicly traded entity. Current divisions and their respective heads are shown below:

Biotechnology / Advanced Health Sciences (Discovia Life Sciences, Inc. - There is current debate over a possible false promotion by Makealick.com & Guardian Angel Group (GAGI) pumping an acquisition between GAGI and HOTI. The current claims indicate that GAGI would head this division, although this is contrary to the official press release dated 04-26-2010. See reference #23 for details.)
